1. Parties & Agreement
Truemark Academy & Advisory Services LLP (‘Academy’, ‘LLP’, ‘we’, ‘us’, ‘our’), a Limited Liability Partnership registered under the laws of India, having its principal place of business at Rampally Main Road, Hyderabad, Telangana, India, operated by its designated partners Navya Penta & Hariprasad Engala, owns and operates the website https://truemarktradingacademy.com and provides financial market educational and mentorship services.
By accessing this website, registering for any service, subscribing to any plan, or joining any Academy-managed educational community (including Telegram and WhatsApp groups), you (‘User’, ‘Client’, ‘Subscriber’, ‘Student’) unconditionally agree to be bound by these Terms & Conditions (‘Terms’). These Terms, together with the Cancellation & Refund Policy, Privacy Policy, Disclaimer & Disclosure, and the executed Service Agreement, constitute the complete binding agreement between you and the Academy.
If you do not agree with any part of these Terms, you must immediately discontinue all use of Academy services.
2. Definitions
- ‘Academy’: Truemark Academy & Advisory Services LLP, its partners, employees, consultants, and authorised representatives.
- ‘User / Client / Subscriber / Student’: Any individual or entity accessing the website or enrolled in any Academy service.
- ‘Owner, Us, We’: The Academy as creator, operator, and publisher of the website and services.
- ‘Courses’: Structured online programs — Stock Market Basics Course and Advanced Technical Analysis Course.
- ‘Subscription Plans’: Mentorship-based educational plans delivered via Telegram/WhatsApp — Cash Market Research Case Studies (Basic & Premium), Swing & Momentum Research Case Studies, and Investment & Wealth Research Case Studies.
- ‘Research Case Studies’: Live and historical technical analysis setups and chart analyses shared for EDUCATIONAL demonstration purposes only — not securities recommendations.
- ‘Services’: All offerings including Courses, Subscription Plans, live webinars, Q&A sessions, and all other educational content.
- ‘Content’: All videos, reports, PDFs, charts, analyses, messages, and intellectual property created or distributed by the Academy.
- ‘Platform’: The Academy’s website, learning management system, Telegram groups, WhatsApp communities, email, and any digital interface used to deliver services.
- ‘NISM Certification’: NISM Series VIII & XV — Registration No: 202400172766, Enrolment: 250441333, held by partner Navya Penta.
3. Assent & Acceptance
By utilizing the Services, you confirm that you have read and understood these Terms and agree to adhere to them. If you do not accept these Terms, please request a refund immediately (if applicable as per the Refund Policy). The Academy will provide access to its Services only if you assent to these Terms.
Additionally, depending on the Services obtained by a User, additional terms and conditions in respect of specific Services may apply, which shall be seen as a further agreement between the User and the Academy.
4. Availing the Services
By accepting delivery of the Academy’s service, the Client confirms their choice to subscribe to the services of Truemark Academy & Advisory Services LLP at their discretion. The Academy affirms that services will be delivered in compliance with relevant provisions of applicable regulations.
The Academy offers the following services:
- COURSES: Stock Market Basics Course and Advanced Technical Analysis Course — 20-day intensive structured learning programs delivered via recorded modules and live sessions.
- SUBSCRIPTION PLANS — RESEARCH CASE STUDIES: Cash Market Basic & Premium (CBV plans), Swing & Momentum (Plan-M series), and Investment & Wealth (IWV plans) — delivering live technical analysis case studies and chart-based research demonstrations via Telegram/WhatsApp educational communities.
- LIVE WEBINARS & MENTORSHIP: Educational live sessions, Q&A, and guided learning support.
5. Obligations on Academy
- All services will be delivered in a professional, ethical, and transparent manner.
- Educational content will be based on sound technical and fundamental analysis principles.
- The Academy will not execute or conduct any trades (purchase/sell transactions) on behalf of any Client.
- The Academy will disclose all material information as required under applicable regulations.
- The Academy will not solicit Clients to engage in portfolio management services.
- The Academy will not request profit-sharing from Clients’ trades.
6. Client Information & KYC
The Client must provide all necessary details in full as required by Truemark Academy & Advisory Services LLP in its standard format, along with any supporting documentation mandated by applicable regulations or RAASB/SEBI. The Academy will collect, store, upload, and verify records of Clients as directed by SEBI periodically.
Clients must provide accurate, complete, and up-to-date information. Providing false or fraudulent information constitutes grounds for immediate termination of services without refund.
7. Standard Terms of Services
The Client’s consent is obtained based on the following understanding:
“I / We have read and understood the terms and conditions applicable to the Academy as defined under applicable educational and regulatory frameworks, including any applicable fee structure. I/We are subscribing to the services for our own benefit and consumption; any reliance on the educational content provided by the Academy will be based on our own judgment and assessment of the information.”
I/We understand that:
- Investments based on personal decisions taken after reviewing educational content are subject to market risk.
- Holding positions without stop-loss or target may lead to significant losses in unfavourable market conditions or company events.
- Market risks may result in partial or total loss of investments under certain conditions.
- Registration by SEBI and certification from NISM do not guarantee the performance of the intermediary or assure returns to investors.
- Past performance is not indicative of future results.
- Content shared in educational case studies does not guarantee returns.
- There is no avenue for claiming losses incurred based on educational content in case studies.
8. Critical Classification — What the Academy Does & Does NOT Provide
8A. What the Academy Provides (Educational Capacity)
- Teaching of technical analysis, fundamental analysis, trading psychology, risk management, options theory, and related financial market concepts.
- Live and historical technical chart case studies shared for educational demonstration of how professional analysis is applied in real market conditions.
- Structured courses, live webinars, and mentorship for skill development.
The Academy does NOT provide: (1) Investment advice personalized to any individual’s financial profile; (2) Portfolio management or discretionary investment services; (3) Guaranteed profit strategies or assured return programs; (4) SEBI-regulated Research Analyst or Investment Adviser services (SEBI registration in process — not yet granted); (5) Options trading calls or speculative intraday tips presented as recommendations; (6) Execution of trades on behalf of any client.
ALL SUBSCRIPTION PLAN CONTENT (Case Studies, Chart Analyses) = EDUCATIONAL RESEARCH CASE STUDIES ONLY. Technical setups, entry zones, stop-loss references, and target levels are shared to demonstrate how professional technical analysis is applied — for education only. They are NOT forward-looking investment recommendations. Subscribers MUST NOT use case study content as the sole basis for actual trade execution.
9. Declaration from the Academy
Truemark Academy & Advisory Services LLP hereby declares:
- The Academy’s NISM Certified professional holds valid certification (NISM Series VIII & XV, Reg: 202400172766) with qualifications necessary to provide educational services in this domain.
- The Academy is not engaged in any other professional or business activities that could interfere with the independence of its educational content.
- Services provided do not conflict with or violate any applicable laws, rules, regulations, or contracts.
- The maximum fee charged by the Academy is aligned with applicable SEBI-prescribed limits. Upon obtaining SEBI RA registration, the Academy will comply with the fee cap of Rs. 1,51,000 per annum per family of clients.
- Educational case studies do not guarantee returns.
10. Age Restriction
You must be at least 18 (eighteen) years of age to use this website or any services contained herein. By using this website, you represent and warrant that you are at least 18 years of age and may legally agree to these Terms. The Academy assumes no responsibility or liability for any misrepresentation of your age.
11. User Obligations
- Use all Academy services strictly for personal, non-commercial, educational learning purposes.
- Not share, reproduce, redistribute, sublicense, sell, or commercially exploit any Academy Content without prior written permission.
- Not screen-record or share live session or community content with non-subscribers.
- Not share login credentials, course access links, or community group invitation links with any third party.
- Not use Academy community platforms to share or solicit personal investment advice, circulate trading tips, or promote third-party financial products or services.
- Acknowledge that Research Case Studies are for educational reference only and not act upon them as investment advice without independent research and consultation from a SEBI-registered Investment Adviser.
- Treat fellow subscribers, instructors, and Academy staff with professionalism and respect at all times.
- Comply with all applicable Indian laws and SEBI regulations while using Academy services.
12. Acceptable Use & Prohibited Conduct
You agree not to use the website or Services for any unlawful purpose or any purpose prohibited under this clause. You further agree not to:
- Harass, abuse, or threaten others or otherwise violate any person’s legal rights.
- Violate any intellectual property rights of the Academy or any third party.
- Upload or disseminate any computer viruses or other harmful software.
- Treat or forward any Academy case study content as actionable buy/sell tips.
- Promote or solicit for any third-party financial services, apps, or platforms within Academy communities.
- Engage in or facilitate any collective investment scheme, syndicate, or profit-pooling arrangement.
- Collect or track the personal information of other Users.
- Perpetrate any fraud or engage in any abusive, harassing, defamatory, vulgar, or unlawful activity.
The Academy reserves the right to terminate access and remove content at its sole discretion. Violation of community conduct standards will result in immediate removal from all Academy platforms without refund.
13. Consideration & Mode of Payment
- All fees are exclusive of GST. 18% GST is applicable and charged additionally on all plans and courses.
- All payments must be made exclusively through official payment gateways listed on the Academy’s website or via the Academy’s official company current account QR code.
- Payments to personal bank accounts, personal UPI IDs, or any channel not officially listed on the website are not valid.
- Payment gateway transaction charges are non-refundable under all circumstances.
- The Academy is not authorized to request profit-sharing from any Client’s trades.
- The Academy cannot solicit Clients to engage in portfolio management services (PMS) without holding a valid SEBI PMS registration.
Optional Centralised Fee Collection Mechanism (CeFCoM): Upon obtaining SEBI RA registration, the Academy may implement CeFCoM as initiated by SEBI to ensure investor payments are securely directed to legitimate SEBI-registered advisors. Until then, pay only through official channels at truemarktradingacademy.com.
14. Risk Factors
Investing in securities carries several risks that could negatively impact your investments or portfolio:
- Market Risk: Fluctuations in market conditions can affect revenue and profitability.
- Financial Risk: Changes in currency and interest rates can impact financial results.
- Operational Risk: Natural disasters or disruptions can lead to losses.
- Regulatory Risk: Changes in regulations or legal actions can affect business operations.
- Technology Risk: Cybersecurity breaches or technology failures can compromise data security.
- Credit Risk: Economic downturns or defaults can lead to financial losses.
- MARKET RISKS WARNING: Investments in the securities market are subject to market risks. Please read all related documents carefully before investing.
- LOSS POSSIBILITY WARNING: Market risks may lead to partial or total loss of investments under certain market conditions.
- Risks in Open Futures and Options Trading are VERY HIGH.

15. Intellectual Property
All Content on the Academy’s platform — including course videos, recorded sessions, PDF materials, worksheets, frameworks, methodologies, case study reports, charts, graphics, and branding — is the exclusive intellectual property of Truemark Academy & Advisory Services LLP and is protected under the Copyright Act, 1957 and applicable Indian IP laws.
A limited, non-exclusive, non-transferable, revocable license is granted to access and use Content solely for personal educational purposes during the active enrollment or subscription period. This license does not constitute a transfer of title or ownership.
Unauthorized reproduction, redistribution, or commercial use of Academy Content shall constitute a material breach of these Terms and may attract civil and criminal liability under applicable Indian law.
16. No Guaranteed Returns — Mandatory Notice
The Academy does NOT promise, guarantee, assure, or imply any returns, profits, or income from stock market trading or investing. Educational case studies shared in Subscription Plans are for learning purposes only. Any representation to the contrary — whether in social media posts, advertisements, or otherwise — is unauthorized and should be reported immediately to the Academy’s compliance contact and to SEBI. There is no avenue for claiming losses based on the educational content shared by the Academy.
17. Conflict of Interest
- The Academy is not engaged in any other professional or business activities that could interfere with the independence of its educational content.
- Instructors and partners may personally hold positions in securities discussed in educational case studies. Such holdings are disclosed herein and do not constitute client recommendations.
- No client recommendations are made based on personal holdings of Academy partners or instructors.
- The Academy has not received any compensation from any company featured in its educational content.
- The Academy does not have any material conflict of interest in the delivery of its educational services.
18. Use of Artificial Intelligence (AI) Tools
- Academy educational content may be created or enhanced using AI-assisted tools. All such content is reviewed and verified by NISM-certified instructors before publication.
- The Academy maintains responsibility for client data security, confidentiality, and compliance in the use of AI tools.
- AI usage risks include system vulnerabilities that may amplify errors. Users are advised to verify information independently.
- Handling sensitive data through AI tools poses privacy and security risks. The Academy implements appropriate safeguards.
- Severe data glitches in AI systems may occasionally result in inaccurate content — users should exercise independent judgment.
19. Client-Level Segregation of Services
The Academy mandates client-level segregation of research/educational and distribution activities as may be applicable per regulatory requirements. Existing Clients cannot access both research services and distribution services within the same group/family. New Clients can choose either research or distribution services at on-boarding, but not both.
20. Most Important Terms & Conditions (MITC)
The Academy’s MITC to Clients includes:
- “The terms and conditions and the consent therein pertain to the educational services provided by Truemark Academy & Advisory Services LLP, and the Academy cannot execute or conduct any trades (purchase/sell transactions) on behalf of the Client.”
- Truemark Academy is not authorized to request profit-sharing from your trades. Do not provide profit-sharing to the Academy.
- The Academy cannot solicit you to engage in PMS services without a valid SEBI PMS registration. Do not provide PMS funds without verifying registration.
If you observe any activities that appear to exceed the scope of applicable regulations, please bring this matter to the attention of the Academy’s compliance team at info@truemarktradingacademy.com. If the issue remains unresolved for seven days, you may also consider notifying SEBI.
21. Mandatory Notice — Investor Do’s & Don’ts
Clients are encouraged to review the Do’s and Don’ts while dealing with the Academy as specified in SEBI master circular no. SEBI/HO/MIRSD-POD-1/P/CIR/2024/49 dated May 21, 2024, or as may be specified by SEBI subsequently.
Do’s
- Always deal with SEBI registered Research Analysts. Verify registration at www.sebi.gov.in. Until the Academy obtains SEBI registration, verify its NISM certification status.
- Always pay attention towards disclosures made in any educational materials before investing.
- Pay the Academy only through banking channels officially listed on the Academy’s website and maintain duly signed receipts.
- Ask all relevant questions and clear your doubts with the Academy before acting on any educational content.
- Inform SEBI about any entity offering assured or guaranteed returns.
Don’ts
- Do not provide funds for investment to the Academy or any educational institution.
- Do not fall prey to luring advertisements or market rumours.
- Do not share login credentials and passwords of your trading, demat, or bank accounts with the Academy or any instructor.
- Do not use educational case study content as the sole basis for making investment decisions without independent research and professional advice.
22. SEBI Registration Status
- SEBI Registration Application In Process — Not Yet Granted.
- NISM-certified professional holds NISM Series VIII & XV Certifications (Reg: 202400172766, Enrolment: 250441333).
- Until SEBI registration is obtained, the Academy operates solely as an educational institution providing content through NISM-certified professionals.
- Upon receipt of SEBI registration, all policies and fee mechanisms will be updated to comply fully with SEBI (Research Analysts) Regulations, 2014 as amended.

23. Termination & Suspension
Suspension
- The Academy reserves the right to suspend your account or access to Services with or without notice if you breach these Terms or if required by SEBI/regulators.
Termination
The Academy may terminate this Agreement immediately upon:
- Violation of Terms & Conditions by you.
- Directions from SEBI or any competent regulatory authority.
- Non-payment of fees (beyond the grace period, if any).
- Fraudulent, abusive, or unlawful conduct on any Academy platform.
- Unauthorized sharing or redistribution of Academy content.
Upon termination for breach by the Client, no refund shall be issued. The Academy may terminate services and process a pro-rata refund for unutilized full months if termination is initiated by the Academy without Client fault.
24. Termination of Service & Refund of Fees
The Academy may suspend or terminate educational services to Clients due to regulatory, technical, or other business reasons, and will refund any remaining amount to the Client in accordance with the Cancellation & Refund Policy.
If services are terminated prematurely, fees for research/educational services are refundable with conditions as outlined in the Refund Policy. Please read our Cancellation & Refund Policy available on the Academy’s website for complete details.
25. Grievance Redressal & Dispute Resolution
Any grievances regarding the Academy’s services — including non-receipt of educational content, missing access, or any deficiencies — must be promptly escalated to the designated compliance contact of the Academy.

The Academy will address grievances within 7 business working days. Disputes may be resolved through arbitration or any other methods specified by SEBI.

26. Limitation on Liability
- Any financial losses, trading losses, or investment losses of any nature arising from use or application of any Academy educational content or case studies.
- Any indirect, incidental, consequential, punitive, or special damages of any kind.
- Losses arising from technical failures, internet disruptions, third-party platform outages, or force majeure events.
- Any actions, decisions, or omissions of subscribers based on educational content.
The maximum liability of the Academy is limited to the lesser of Rs. 1000 (Rupees One Thousand only) or the amount paid by you to the Academy in the last six (6) months for the specific service in respect of which the claim arises.
27. Indemnification
You agree to defend and indemnify the Academy and hold it harmless against any and all legal claims and demands, including reasonable attorney’s fees, which may arise from or relate to:
- Your breach of these Terms & Conditions or violation of applicable law.
- Unauthorized or improper use of your account or the Academy’s Platform.
- Third-party claims related to your actions or inactions while using Academy services.
28. Amendments
We may modify or update these Terms in accordance with applicable regulations and business requirements. Notice of material changes will be posted on the Academy’s website and/or emailed to registered clients. Your continued use of the Services after such notice indicates your acceptance of updated Terms. Any changes will be preceded by a notice of 15 days.
29. Jurisdiction, Venue & Governing Law
Through your use of the Website or Services, you agree that the laws of India shall govern any matter or dispute relating to or arising out of these Terms. In case any litigation is initiated, the Parties agree to submit to the exclusive jurisdiction of the courts at Hyderabad, Telangana, India. The Parties agree that this choice of law, venue, and jurisdiction provision is mandatory in nature.
30. Additional Clauses
All additional clauses included by the Academy must comply with SEBI’s rules, regulations, and circulars. Any changes to terms and conditions will be preceded by a notice of 15 days.
- Research service fees paid are refundable but with conditions as outlined in the Cancellation & Refund Policy.
- Any changes or updates to these Terms will be updated on the Academy’s website and communicated to registered clients.
